SpiralFrog™ Files Form 15

SpiralFrog, Inc. (www.spiralfrog.com) (“the Company”), today announced it has filed a Form 15 with the Securities and Exchange Commission (SEC). Upon the filing of the Form 15, SpiralFrog’s SEC reporting obligations will cease. Effective immediately, the Company will no longer be filing current and periodic reports, such as Forms 8-K, 10-K, 10-Q, etc. The Company expects that the deregistration will become effective within 90 days of filing Form 15. In the interim period, no reports will be filed.

This step satisfies certain investor requirements, and allows the Company to keep its proprietary and competitive information confidential to the Company. It also reduces Sarbanes Oxley compliance and certain administrative costs, given that the Company is not listed on any exchange.
