Exercises with stock options of Nokia Corporation

A total of 169,446 shares of Nokia Corporation (”Nokia”) were subscribed for as of Aug 28, 2006 based on Nokia’s 2003 and 2005 employee stock option plans. This resulted in an increase of EUR 10,166.76 in Nokia’s share capital and an increase of EUR 2,358,813.55 in shareholders equity. The new shares carry full shareholder rights as from the registration date, September 1, 2006.

The shares are admitted to public trading on the Helsinki Exchanges as of the same date together with the old Nokia share class (NOK1V). As a result of the increase, the share capital of Nokia is currently EUR 245,655,258.42 and the total number of shares is 4,094,254,307 including the shares that are held by the company.
